End-User License Agreement (“Agreement”)

Please read this End-User License Agreement carefully before clicking the “I Agree” button, downloading or using the Locals Cannabis Loyalty App.

Interpretation and Definitions

Interpretation

The words with initial capital letters have meanings defined under the following conditions.
These definitions apply whether they appear in singular or plural form.

Definitions

For the purposes of this End-User License Agreement:

• Agreement means this End-User License Agreement that forms the entire agreement between You and the Company regarding the use of the Application.
• Application means the software program provided by the Company downloaded by You through an Application Store to a Device, named Locals Cannabis Loyalty App.
• Application Store means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) through which the Application has been downloaded to your Device.
• Company (referred to as either “the Company”, “We”, “Us” or “Our” in this Agreement) refers to Ohio Bound Inc. DBA Locals Dispensary, 1187 W. 8th St., Cincinnati, OH 45203.
• Content refers to content such as text, images, or other information that can be posted, uploaded, linked to, or otherwise made available by You.
• Country refers to: United States
• Device means any device that can access the Application such as a computer, a cellphone, or a digital tablet.
• Family Sharing / Family Group permits You to share applications downloaded through the Application Store with other family members.
• Third-Party Services means any services or content provided by a third-party that may be displayed, included, or made available by the Application.
• You means the individual accessing or using the Application or the company or other legal entity on behalf of which such individual is accessing or using the Application, as applicable.

Acknowledgment

By clicking the “I Agree” button, downloading, or using the Application, You agree to be bound by the terms of this Agreement. If You do not agree, do not click “I Agree” and do not use the Application.

This Agreement is between You and the Company only, not the Application Store. The Company is solely responsible for the Application and its content.

The Application is licensed, not sold, to You by the Company for use strictly in accordance with
this Agreement.

License

Scope of License

The Company grants You a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Application in accordance with this Agreement.

License Restrictions

You agree not to:

• License, sell, rent, lease, assign, distribute, or otherwise commercially exploit the Application.
• Copy or use the Application for purposes beyond those allowed under this Agreement.
• Modify, reverse engineer, or create derivative works of the Application.
• Remove or obscure any proprietary notices.

Content

Content Restrictions

You are solely responsible for the content and all activity under your account. You agree not to post or transmit any unlawful or offensive content.

The Company may, at its discretion, remove or restrict content that violates this Agreement.

Intellectual Property

The Application and all related intellectual property are the sole property of the Company.

Your Suggestions

Any feedback or suggestions provided by You shall remain the property of the Company.

Modifications and Updates

The Company reserves the right to modify, suspend, or discontinue the Application at any time without notice.

Maintenance and Support

The Company is responsible for any required maintenance or support as per applicable law.

Third-Party Services

The Company is not responsible for Third-Party Services or content.

Privacy Policy

Your use of the Application is governed by our Privacy Policy: https://localscannabis.com/privacy/

Term and Termination

This Agreement remains effective until terminated by either party. You may terminate by deleting the Application. The Company may terminate if You violate any terms.

Indemnification

You agree to indemnify the Company for claims arising from your use of the Application.

No Warranties

The Application is provided “AS IS” without warranties of any kind.

Limitation of Liability

The Company’s liability is limited to the amount paid by You for the Application or $100 USD if no purchase was made.

Severability and Waiver

If any part of this Agreement is found unenforceable, the rest remains in effect.

Product Claims

The Company is responsible for addressing any claims related to the Application.

United States Legal Compliance

You represent that You are not located in a sanctioned country or on any U.S. government prohibited list.

Changes to this Agreement

We may revise this Agreement at any time. Continued use of the Application after changes means You accept the new terms.

Governing Law

This Agreement is governed by the laws of the State of Ohio, United States.

Entire Agreement

This Agreement is the entire agreement between You and the Company regarding the Application.
